Welcome to MoBi Biz! These Terms and Conditions ("Terms") govern your access to and use of the services, website, and products provided by MoBi Biz ("we", "us", or "our"), a wholesaler of mobile accessories based in Nashik, Maharashtra, India.
By placing an order, accessing our website, or using our services, you ("Customer", "Buyer", "you") agree to be bound by these Terms. Please read them carefully. If you do not agree with any part of these Terms, you may not use our services.
1. Eligibility and Account Registration
1.1. Business Customers Only: Our services are strictly for businesses (retailers, distributors, resellers, etc.) and not for individual consumers. By placing an order, you represent and warrant that you are purchasing products for resale or business use and not for personal, family, or household purposes.
1.2. Account Creation: To place orders, you may be required to register an account with us. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.
1.3. Account Security: You are responsible for maintaining the confidentiality of your account login information and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.
2. Products and Orders
2.1. Product Information: We strive to ensure that all product descriptions, images, and prices on our website or catalogs are accurate. However, minor variations in color, size, or packaging may occur. We reserve the right to correct any errors or omissions and to change product information at any time without prior notice.
2.2. Pricing: All prices are quoted in Indian Rupees (INR) and are exclusive of Goods and Services Tax (GST) unless otherwise stated. GST will be added to the invoice at the applicable rates. Prices are subject to change without notice.
2.3. Minimum Order Quantity (MOQ): Certain products may have a Minimum Order Quantity (MOQ). Orders below the specified MOQ may not be accepted or may incur additional charges.
2.4. Order Acceptance: All orders placed are subject to acceptance by MoBi Biz. We reserve the right to accept or reject any order for any reason, including but not limited to product availability, errors in pricing or product description, or suspected fraudulent activity. An order confirmation does not signify our final acceptance.
2.5. Stock Availability: Product availability is subject to change without notice. While we strive to maintain accurate stock levels, we do not guarantee the availability of any product. If an ordered item is out of stock, we will inform you and offer alternatives or a refund for the unavailable item.
3. Payment Terms
3.1. Payment Methods: We accept various payment methods, including bank transfers (NEFT/RTGS/IMPS), UPI, and other methods as specified by us from time to time.
3.2. Payment Due: Payment for orders must be made in full prior to dispatch, unless specific credit terms have been agreed upon in writing between MoBi Biz and the Customer.
3.3. Credit Terms: Any credit terms offered are subject to a separate agreement, credit checks, and periodic review. Failure to adhere to agreed payment schedules may result in the suspension of credit facilities and a requirement for advance payment.
3.4. Late Payments: For overdue invoices, MoBi Biz reserves the right to charge interest at a rate of 18% per annum or the maximum rate permitted by law, calculated from the due date until the date of full payment.
4. Shipping and Delivery
4.1. Shipping within India: We ship products across India.
4.2. Shipping Charges: Shipping charges will be calculated based on the order value, weight, dimensions, and delivery location. These charges will be communicated to you before final order confirmation or on the invoice.
4.3. Delivery Timeframes: Estimated delivery times are provided for guidance only and are not guaranteed. Delays may occur due to unforeseen circumstances (e.g., transporter issues, natural calamities, public holidays).
4.4. Risk of Loss: The risk of loss or damage to products passes to you upon delivery to the carrier or upon collection by you or your designated representative.
4.5. Delivery Acceptance: It is your responsibility to inspect the package upon arrival for any visible damage before accepting delivery. If a package appears damaged, note it on the delivery receipt and notify us immediately.
4.6. Incorrect Delivery Information: MoBi Biz is not responsible for delays or non-delivery resulting from incorrect or incomplete delivery information provided by the Customer.
5. Returns, Refunds, and Replacements
5.1. Defective or Damaged Products: You must inspect all products immediately upon receipt. Any claims for defective or damaged products must be reported to MoBi Biz within 48 hours of delivery, accompanied by clear photographic evidence and a description of the defect/damage.
5.2. Return Authorization: All returns require a Return Merchandise Authorization (RMA) from MoBi Biz. Products returned without an RMA may be rejected.
5.3. Return Condition: Returned products must be in their original packaging, unused, and in resalable condition, unless they are being returned due to a manufacturing defect.
5.4. Refunds/Replacements: Valid claims for defective or damaged products will be processed as either a replacement of the same item (subject to availability) or a credit/refund to your account, at our discretion. We do not offer cash refunds for returns unless explicitly stated.
5.5. Shipping Costs for Returns: For confirmed defective products, MoBi Biz will bear the return shipping costs. For returns due to customer error or change of mind (if accepted), return shipping costs will be borne by the Customer.
5.6. Non-Returnable Items: Certain items, such as opened software, specially ordered items, or items damaged due to misuse, are non-returnable.
6. Intellectual Property
6.1. All content on our website, including text, graphics, logos, images, product designs, and software, is the property of MoBi Biz or its licensors and is protected by Indian and international copyright and intellectual property laws.
6.2. You may not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on our website without our prior written consent.
7. Limitation of Liability
7.1. To the maximum extent permitted by law, MoBi Biz shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the services; (ii) any conduct or content of any third party on the services; (iii) any content obtained from the services; and (iv) unauthorized access, use or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence) or any other legal theory, whether or not we have been informed of the possibility of such damage.
7.2. In no event shall MoBi Biz's total liability to you for all damages, losses, and causes of action exceed the total amount paid by you for the specific product(s) giving rise to the claim.
8. Indemnification
You agree to indemnify, defend, and hold harmless MoBi Biz, its affiliates, officers, directors, employees, agents, and licensors from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the services, including, but not limited to, any use of the website's content, services, and products other than as expressly authorized in these Terms.
9. Governing Law and Jurisdiction
9.1. These Terms and your use of our services shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions.
9.2. Any dispute, claim, or controversy arising out of or relating to these Terms or the breach, termination, enforcement, interpretation, or validity thereof, shall be subject to the exclusive jurisdiction of the courts located in Nashik, Maharashtra, India.
10. Force Majeure
MoBi Biz shall not be liable for any delay or failure to perform its obligations under these Terms if such delay or failure is caused by acts of God, war, terrorism, strikes, riots, epidemics, pandemics, government regulations, or any other cause beyond our reasonable control.
11. Miscellaneous
11.1. Entire Agreement: These Terms constitute the entire agreement between you and MoBi Biz regarding your use of our services and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral.
11.2. Severability: If any provision of these Terms is held to be invalid or unenforceable, that provision will be struck and the remaining provisions will remain in full force and effect.
11.3. Waiver: No waiver by MoBi Biz of any term or condition set forth in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of MoBi Biz to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.
11.4. Amendments: We reserve the right to modify or replace these Terms at any time. If a revision is material, we will try to provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. By continuing to access or use our services after those revisions become effective, you agree to be bound by the revised terms.
